Our Terms & Conditions for Services

We understand that most people don’t have the time or care to read the Terms of Service, but it is very important for us to establish what you can expect from us, and what we will be expecting from you, if you agree to and use our services. We also understand that you are trusting us to do right by you and that you will do right by us, but we are also trusting that you will read our privacy policies & our terms and conditions. This is one of the only ways that we can hold each other to our promises, outside of our word which is not as binding as it once was. We will try to keep it short and sweet.

When you use our site and our services, we will need to agree on some general terms and conditions for the solicitation of our services. Along with our Privacy Policy, these Terms of Service will be the contractual agreement between taylorsitconsults and anyone who has agreed to any of our services. So please read the following information carefully, before agreeing to any service that you will be requesting and that we will provide for you.

In lieu of a signed service quote or contract, the following terms and conditions for service will be the service agreement between you and taylorsitconsults, and goes into effect if and when you agree to use any of our services.

Who We Are & What We Do. We are an on-demand service fulfilment team, meaning we are not a service subscription company. We will attempt to fix devices, local network issues, and other assorted IT contractor and consultant work. This includes updating or upgrading your current setup with new components as needed. We do not sell products, meaning we are not merchandise vendors, nor are we affiliated with any online retailers, products, or merchandise vendors. We are not affiliated with your Internet Service Provider (ISP) nor any of the services they provide you. We are here to provide on-site solutions where those other companies can’t or won’t assist you (the end user or consumer). We are also consumers of these same services and products, and we are here to fill the void between those entities and yourself.

The Services We Provide. We do it. That’s our motto. Where your Internet Service Provider (ISP) falls short, or refuses to assist you. We do it. Where the product vendor tells you to contact your ISP, and your ISP turns around and tells you to contact your product vendor. We do it. When you aren’t sure who to call, what isn’t working right, or what needs to get done for you to be happy with your setup. We do it.

We provide on-site investigative estimates, by engaging in preliminary investigation at your location, that will provide us with a better understanding of what will be involved to provide a service. This preliminary investigation will give us the insight on what is needed to either fix an issue, update your current setup, or how involved your project might be. We will ask questions to fully understand your situation, your budget, and any expectations that you may have to ensure complete satisfaction. We will use this information to provide a rough estimate of work and service cost, including any required devices and materials if needed. We may not be able to estimate the time needed to complete the work, as that can be variable.

We can then give you the estimate of work, and let you decide if you want to proceed or not, and we will continue to report changes throughout the process to ensure we have your approval before engage in any solutions.

We will advise you, and reserve the right to refuse work, that we believe is outside or beyond the scope of our ability or for any other given reason. We may be able to direct you where to seek assistance, but we cannot guarantee any other services outside of our own.

We provide customer and technical support, by troubleshooting issues where they occur on-site and at your location. We will investigate just about any issue for any device with a circuit board, most apps and resources, and attempt to find solutions that work for you. If we are unable to fix or repair a malfunctioning device or setup, we can suggest replacements or upgraded devices and resources that will best fulfill your needs.

If needed and agreed to by both parties, we can also retrieve your components from your location and perform the requested services at our own location. We will document the component before it leaves your location, by way of serial number or other official qualification for protection of all parties involved. If this method is chosen for the service fulfillment, we will advise you of any time and materials needed for resolution, and only continue service work on your approval. We will bring the component back to your location and ensure it is reconnected in the original manner.

We provide specialized IT consulting, when you are looking to update or upgrade your current setup for a more modern system. We do it by analyzing each component and connection and what exactly you need each for, then recommend project components what will work for you within the budget you want to keep. We can can even come up with suggestions for proper upgrades to keep up with today’s technologies and components if you want the full upgrade experience. We can also assist with ordering and installing the new devices, and give tutorials on how to use their regular features.

We can purchase replacement equipment or modern devices for you, if you are not comfortable with online shopping or if you would just rather we do it. We can scour the interwebs for the best priced equipment to replace any faulty devices that require replacement or new devices to modernize your setup. We will touch base with you, discussing the pros and cons, pricing differences, popular features and functions and ensure we purchase the devices you truly want. We can order the new equipment and components on our own online accounts, and then install them with today’s best practices and standards in mind.

On-Site Visitation & Safety Requirements. We provide on-site services, and therefore we will be at the location where you need assistance. In order to ensure safety for all parties, ourselves includes, we have a few requirements.

We require an adult of at least 18 years old on-site during appointments and service fulfillment, as we will need access to personal equipment and information, and we will need someone capable of giving said consent to that access thereof.

Sensitivity & Privacy. Please remove or temporarily relocate any personal or private imagery, media, or any other personal or private content that you would not want others to see or that others should not be privy to, before we arrive on schedule to perform any of the services we offer. We understand that you are comfortable in your private space, with your personal items, but we will only be sharing your personal space for a very limited and scheduled time that you will be very much aware of before our arrival. Please be mindful that though we certainly respect your personal space during the duration of our presence, we will also require our personal space to be respected while we provide our services.

We require a safe environment to work in, as we may need to access equipment in different areas of your personal space while on-site and at your location. Please keep in mind that we are professionals attempting to enact the work needed to fulfill service requests that you have agreed to. All parties on-site need to be aware of our presence at the time and duration of any scheduled appointments, and all parties need to be prepared for us to be in the area of the requested work services. If safety becomes a concern, we may request to reschedule the appointment or end service fulfillment if necessary and at our discretion.

We do not wish to be recorded. Though you may have recording devices for your own security, such as webcams in your house, our images are not allowed for public display or forum. We understand that the material recordings may need to be given to law enforcement, in the case where such a situation would apply, but you are not allowed to post our images in any manner on any medium.

You and taylorsitconsults shall comply with all applicable laws and regulations of local, state, or federal agencies and governments. We may be required to report illegal content, including unlicensed software or data (such as images or videos) to law enforcement agencies if discovered, and you agree to hold taylorsitconsults harmless for these ethical, moral, and legal requirements, obligations, and actions. Further action will be taken, if necessary.

Proprietary Methods & Information. The manner and means by which we perform the requested work involve proprietary tools, utilities, standards, techniques, concepts, ideas, know-how, and information developed by taylorsitconsults prior to and independent of any agreed upon requested service. We shall retain all rights, title, and interest in and to our Intellectual Property (IP).

We will treat PII and confidential information with the same respect and reverence that we apply to all private information. We request, and hope that you understand, that these policies apply to our own protection of said information as well. Please review our Privacy Policy for more information.

Ownership Responsibilities. You must certify that you are the sole owner of any devices, computers, or systems that you request any services for. We will not knowing assist in any illegal actions against items, or personal property, that could harm another person. In the event that you are not found to be the true sole owner of a device, computer, or system that you have requested services for, you will assume all liability for any claims made as a result of any support services rendered by taylorsitconsults. This liability includes claims which asserts negligence, or those in any and all capacity of advice that was given, and any action or work done to assist and fulfill any requested service.

You must own and demonstrate ownership of any software that is to be installed or reinstalled by taylorsitconsults, by providing original and legally source material, keys, and/or serial numbers. We are happy to assist, but are legally bound to ensure that we are not infringing on the rights of any other persons or entities. Further action will be taken, if necessary.

Confidential Information & Sensitive Data. We may have access to confidential information during the process of collecting contact information, making appointments, performing requested work on-site, and completing projects with payment transactions. This information will be kept and maintained as confidential, whether marked, stated, or understood as such; and used only if required during the the process and completion of the requested work.

Please remove any personal or private files, data, media, or any other content that you would not want others to see or that should not be seen by others, before we arrive to perform any of the services we offer. We may be required to report illegal content, including unlicensed software or data (such as images or videos) to law enforcement agencies if discovered, and you agree to hold taylorsitconsults harmless for these ethical, moral, and legal requirements, obligations, and actions.

Warranties. Both parties agree and certify that they have the right to enter into a service agreement and fulfill any obligations of those arrangements and agreements. Both parties will comply at all times with applicable regulations and laws; and will not do anything or make any statement that could be reasonably expected to harm the reputation, person, or property of the other party.

All services shall be performed by qualified and competent personnel in accordance with industry standards and practices, and with high standards of care, skill, diligence, and practices appropriate to the nature of the services rendered. Furthermore, we stand by our work and the advice that we may give to you, but we do not have much control of many of the variables and factors that may affect your equipment and how you use it. We do not make nor sell any of the devices, software, computers, or systems that we may be working with, therefore there will need to be limited liability built into any understanding of the performance or results of our services.

Limitation On Liabilities. You understand that taylorsitconsults technicians have been trained to work on devices, systems, computers, hardware, and software, but taylorsitconsults is not an authorized device or service dealer. We can not guarantee systems, devices, components, computers, hardware, or software, nor any manner in which they can be used. The liability of taylorsitconsults is strictly limited to those damages that are due to negligence on the part of taylorsitconsults while technical support is being rendered. Since multiple variables and factors are involved in any service that we may provide, and can be affected by variables outside of our control, both parties have to agree on what would be considered our responsibility.

Please be advised that it is your responsibility to understand the impact of upgrade and replacement materials to your personally owned devices, computers, systems, etc. Upgrades and component replacement can lead to incompatibilities that may not become apparent until a later date. We will research all material that we may suggest, but such incompatibilities may be unavoidable. At your discretion, we will continue to assist you with our services as long as you are aware and understand that we can’t guarantee the longevity of any materials.

Liability Waivers. You expressly waive all claims against taylorsitconsults for any damages to a device, computer, or system, or any data that are alleged to have arisen as a result of the technical support rendered by taylorsitconsults. You agree to release, indemnify, and hold harmless taylorsitconsults from liability for any claims or damages of any kind or description, including but not limited to loss of data that may arise from any work performed during the process of fulfilling any services requested by you.

Certain repairs or software updates may damage other materials or data on your components. Your personal data is the most important part of any system, because of the irreplaceable value you deem and give it. You are responsible for backing up your own data using the latest technologies for such material records prior to any work we perform in regards to any service we provide. If data recovery and/or transfer was requested, we will make our best effort to fulfill the service request, but no guarantees can be made in this endeavor. You must understand and agree to the fact that there is a possibility that some data may still be unrecoverable, damaged, malfunctioning, or completely unrecoverable from old storage media. We recognize and understand the value of data, and we will make every attempt to avoid damage or loss of data while providing any service, but no guarantees can be made because of the nature of data storage in and of itself on any medium.

You understand that technical support rendered by taylorsitconsults may void manufacturer warranties for any devices, computers, systems, or any other components we are working with, as we have already stated we are not members of any authorized dealers. We will not assume any liability or warranty in the event that the manufacturer warranties are voided. You understand that taylorsitconsults offers no verbal or written warranty, either expressed or implied, regarding the success of the technical support that we provide. We are consumers, same as you, but we will endeavor to fulfill the service you have requested and agreed to.

Indemnification. You will defend, indemnify, and hold harmless taylorsitconsults from any claims, suits, actions, demands, liabilities, expenses, judgements, settlements, and penalties of every kind as it pertains to us and our performance in regards to the requested work and the service that was agreed to.

Hardware & Software Purchases. If replacement or upgrade equipment, resources, components, devices, hardware, or software is required to fulfill a service request, we will advise you of the needed material before progressing in any service project. We will either wait for you to acquire the necessary material, or we can also provide suggestions if you would be more comfortable with our judgements on the items we are familiar with. When you have the obtained the materials for the service project, we will schedule an appointment to continue progress with the service that was requested.

On request, we could also purchase the material, you have chosen for the project, on our own personal accounts. If this route is chosen, we will have the material shipped to us (for our own personal privacy) and bring the material on-site when you are available for the next scheduled appointment. You are responsible for the total cost of the material, including taxes and shipping cost, and these costs will be added to the overall price of the service. You are responsible for the materials that you have requested and agreed to, even if we cannot guarantee the longevity of the material.

Service Payment. You must pay for any services that taylorsitconsults fulfills, as you would have agreed to the payment of services before we enacted them. Payments for any rendered services must be paid in full on service fulfillment, before we leave the service site location. Unless expressly stated otherwise, all fees and charges are nonrefundable. You certify that you will pay for all services rendered, for the agreed upon charges, and that you will pay the total balance due for all rendered services (including any material charges you have requested and received) upon fulfillment. If you are unsatisfied with our service in any capacity, you must notify taylorsitconsults before we leave the premises or location of service fulfillment. Unpaid services, in any capacity of having been rendered, are subject to collection and other legal remedies. Further action will be taken, if necessary.

Invoices are not used regularly, but one can be made on request (for services that have been fulfilled and paid in full) and sent to you via email or postal mail.

If payment can not be fulfilled on completion at the time, while on-site, we will discuss when the late payment can be expected (no later than 10 business days after service fulfillment) before we leave the location. No other services will be fulfilled until the missed payment is resolved. If it becomes apparent that payment will not be forthcoming, we will send an invoice with adjustments for late fees and take further action if needed.

Dispute Resolutions. You and taylorsitconsults will attempt to settle all misunderstandings, disputes, and claims arising under or in connection with these Terms and Conditions, a service schedule, or any related agreement through consultation and negotiation in good faith and a spirit of mutual cooperation. If those attempts fail, either party, in its sole discretion, may require that such dispute be settled by arbitration under the then current rules of the American Arbitration Association. If a party elects to submit any such dispute to arbitration, the decision and award of the arbitrator shall be final and binding, and the award may be entered in any court having jurisdiction. In the event a dispute between the parties results in litigation or arbitration, the prevailing party in the litigation or arbitration shall be reimbursed for all reasonable costs and expenses, including reasonable attorneys’ fees, by the non-prevailing party.

Service Termination. Both you and taylorsitconsults have the right to terminate services, at either of our own discretions. Service termination after any fulfilled service appointment, and especially prior to the expected service completion expectation, must be made in writing so that both parties are aware of the termination and at what point the termination occurred. The customer must still pay for any services that have been rendered up and to the point of service termination.

Changes & Term Updates. These Terms, or any part thereof, may be modified by us, including the addition or removal of terms at any time, and such modifications, additions, or deletions will be effective immediately upon posting. Your use of the websites or services after such posting shall be deemed to constitute acceptance by you of such modifications, additions, or deletions.

ALL CLAIMS FOR LIABILITY AND/OR LOSS, INCLUDING WITHOUT LIMITATION OF ANY DIRECT OR INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES WHICH MAY OCCUR AS A RESULT OF ANY ACTION (OR INACTION) BY TAYLORSITCONSULTS ARE HEREBY EXPRESSLY WAIVED.
